Subscriber Agreement

1. Overview

This Subscriber Agreement (“Agreement”) is a binding contract between you (“Subscriber”) and Mediumworx LLC, doing business as Filestor (“Provider”), governing your subscription to and use of the Filestor platform. This Agreement supplements the Terms of Use and applies specifically to active plan subscriptions.

2. Subscription Plans

Filestor is offered at a flat rate of $10 per month per organization plus a $1 service charge. Each subscription includes unlimited organization members, unlimited Cloudflare R2 / Amazon S3 / customer-side agent storage roots, group-based folder ACLs, full-text search across connected roots, and the bandwidth-saving direct-download handoffs (presigned URLs for object storage, Cloudflare Tunnel for agents).

Your subscription is selected during onboarding and can be reviewed or changed from your Billing page.

3. Service Level

Filestor aims to maintain platform availability and the responsiveness of file operations. Scheduled maintenance windows will be communicated in advance when possible. Emergency maintenance may occur without prior notice to address security vulnerabilities or critical infrastructure issues.

Availability of files served from your connected R2/S3 buckets depends on the storage provider you use. Availability of files served from your Filestor agent depends on the agent host's connectivity and the Cloudflare Tunnel configuration you maintain.

4. Data Processing

As a Subscriber, you direct Filestor to process your data — including listing files, reading content for preview and download, writing uploads, performing rename / move / copy / delete operations, and building search indexes. Filestor processes this data solely according to your instructions and configurations.

Credentials you provide — R2/S3 access keys, agent enrollment tokens, Cloudflare Tunnel signing keys — are stored in our control-plane database (with agent enrollment secrets hashed). They are scoped to your organization and are not shared with other subscribers or accessible to Filestor staff except as required for platform maintenance with your consent.

5. Subscriber Responsibilities

You are responsible for: the accuracy of credentials provided to the platform (R2/S3 keys, agent enrollment tokens, tunnel hostnames); the deployment and operation of any Filestor agents you install on your hosts, including the cloudflared configuration that fronts them; managing team member access, roles (viewer / editor / admin), groups, and ACL grants within your organization; the contents you upload and the files you make accessible through Filestor; maintaining adequate backups of your data independent of your storage providers; and complying with all applicable laws regarding the data you store and process.

6. Intellectual Property

Filestor owns all intellectual property rights in the platform, including the web app, APIs, the Filestor agent binary, the search-indexing pipeline, the Cloudflare Tunnel handoff, and documentation. Your subscription grants you a limited, non-exclusive, non-transferable right to use the platform during the subscription term.

You retain all rights to your data, file contents, configurations, and access policies. Filestor claims no ownership over content you create or store through the Service.

7. Cancellation

You may cancel your subscription at any time from your Billing page. Upon cancellation, you retain access through the end of any prepaid period. After that, your account reverts to limited access and your control-plane data is retained for 30 days before deletion. Files in your connected R2/S3 buckets and on your agent hosts are not affected by cancellation.

Filestor may terminate subscriptions for violations of the Terms of Use or this Agreement with written notice.
